Website terms and commercial disclaimers
Terms of Use
These Terms govern access to and use of the Geopromtec website, catalog, technical articles, inquiry form, and linked communication channels. They do not replace a signed quotation, purchase agreement, inspection order, logistics instruction, or other transaction document.
Effective 26 June 2026 · Release 43
This public document is maintained for the Geopromtec website and inquiry workflow. It does not replace legal advice for a specific transaction.
1. Website operator and acceptance
The website is operated by Geopromtec LLC, with business contact details shown on the site and correspondence address at Georgia, City Kutaisi, Avtomshenebeli str., N 88, (Free Industrial Zone of Kutaisi Hualing) 10. By using the website, you agree to these Terms. If you act for a company, you confirm authority to submit inquiries and project information.
2. Informational purpose only
Catalog pages, product descriptions, blog articles, images, tables, FAQs, and examples are provided for preliminary B2B information. Nothing on the website is a binding offer, engineering approval, certification, regulatory opinion, customs ruling, tax advice, safety approval, availability guarantee, or commitment to supply.
3. Inquiry and quotation process
Submitting a form, email, WhatsApp message, Telegram message, or phone request does not create a purchase obligation, supply commitment, reservation, exclusivity, or agency relationship. A transaction exists only after authorized parties agree written scope, specifications, price, payment, delivery, inspection, compliance, acceptance, and other essential terms.
4. Product information and technical accuracy
Product descriptions help buyers frame requirements. Final suitability depends on confirmed manufacturer data, samples, drawings, test reports, utility requirements, destination rules, installation conditions, operator training, and professional engineering review. The buyer remains responsible for final technical and regulatory approval.
5. User obligations
Users must provide accurate requirements, lawful intended use, destination, quantity, timing, materials, voltage or utilities, packaging needs, certification expectations, acceptance standards, and relevant constraints. Users must not submit misleading information, unauthorized third-party documents, malware, or requests designed to bypass customs, sanctions, safety, intellectual-property, or export-control rules.
6. Acceptable use and prohibited requests
The website may not be used for counterfeit goods, stolen goods, deceptive labeling, controlled or prohibited items, unsafe products, sanctioned parties, fraud, infringement, corruption, harassment, abusive scraping, automated form abuse, or interference with website operation. Geopromtec may reject any request presenting legal, safety, sanctions, export, payment, reputational, or ethical risk.
7. Pricing, availability, and delivery disclaimers
Prices, lead times, minimum order quantities, currency assumptions, freight, duties, taxes, insurance, inspection costs, packaging costs, and availability can change before written confirmation. Shipping timelines depend on supplier capacity, documentation, ports, customs, inspections, force majeure, destination restrictions, and carrier performance.
8. Warranty disclaimers
To the maximum extent permitted by law, the website and content are provided without implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation. Any product warranty, spare-parts obligation, service commitment, or after-sales responsibility must be stated in transaction documents.
9. Limitation of liability
To the maximum extent permitted by law, Geopromtec is not liable for indirect, incidental, consequential, special, punitive, loss-of-profit, production downtime, data loss, business loss, or reputational damages arising from website use. Nothing excludes liability that cannot legally be excluded.
10. Indemnification
Users agree to indemnify and hold Geopromtec harmless from claims, penalties, losses, costs, and professional expenses arising from inaccurate submissions, unlawful requests, infringement, misuse of the site, unauthorized documents, or breach of these Terms, including customs, sanctions, IP, safety, or regulatory disputes caused by user conduct.
11. Intellectual property, copyright, and trademarks
The Geopromtec name, website copy, structure, original graphics, code, layout, and brand elements are protected unless otherwise stated. Third-party photographs, icons, product names, company names, marks, and manufacturer references belong to their owners. Media license notes are maintained on the Media Credits page and in project documentation.
12. External links and third-party services
Links to WhatsApp, Telegram, email clients, suppliers, inspection companies, logistics providers, or external resources are provided for convenience. Their availability, security, terms, privacy practices, statements, products, services, and documentation are not controlled by Geopromtec.
13. Privacy, cookies, and data processing
Website data handling is described in the Privacy Policy and Cookie Policy. Where a specific transaction requires a data-processing agreement, confidentiality agreement, non-disclosure agreement, or additional security controls, those terms must be agreed separately in writing.
14. Security and unauthorized access
Users must not test, scan, overload, exploit, reverse engineer, bypass, scrape abusively, interfere with forms, circumvent CAPTCHA, or attempt unauthorized access to the website, server, email systems, or infrastructure. Security vulnerabilities should be reported responsibly to [email protected] without public disclosure or exploitation.
15. Export compliance and sanctions
Users are responsible for confirming that requested goods, technology, documentation, destination, end user, and intended use are lawful under applicable export-control, sanctions, customs, product-safety, labeling, and import rules. Geopromtec may request more information, decline a request, or stop cooperation where trade-compliance risk cannot be resolved.
16. Confidentiality
Information sent through public forms or ordinary messaging channels should not be treated as confidential unless a written confidentiality arrangement has been agreed. For confidential drawings, formulas, packaging artwork, quality files, or supplier lists, the parties should agree secure transfer, recipient limits, permitted use, retention, and deletion obligations.
17. Force majeure
Geopromtec is not responsible for delay or non-performance caused by events outside reasonable control, including natural disasters, war, epidemic, labor disruption, cyber incident, utility failure, government action, sanctions changes, customs delays, carrier disruption, port closure, supplier shutdown, or major infrastructure failure.
18. Governing law and jurisdiction
Unless a separate written agreement states otherwise, website use and these Terms are intended to be governed by the laws of Georgia, without prejudice to mandatory rules that may apply elsewhere. Disputes relating only to website use should be submitted to the competent courts of Georgia unless mandatory law requires another forum.
19. Severability, no waiver, and entire agreement
If any provision is invalid or unenforceable, the remaining provisions continue to apply and the invalid part should be interpreted as closely as legally possible to its intended effect. Failure to enforce a provision is not a waiver. These Terms and referenced policies govern website use and do not override signed transaction documents.
20. Changes and contact
Geopromtec may update these Terms as the website, services, risk controls, law, or workflow change. The effective date identifies the current public version. Questions should be sent to [email protected]; transaction-specific issues must be confirmed through the responsible manager and written commercial documents.
